Welcome to Punt, a service provided by Mtn Labs, Inc. (dba Punt) ("Punt," "we," "us," or "our"). By accessing or using our services, you agree to be bound by the following Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

These Terms govern your use of the Punt AI assistant and related services offered by Mtn Labs, Inc., including any self-service and team pricing plans.

1. Acceptance of Terms

By using Punt, you agree to these Terms and our Privacy Policy. If you are using the service on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case "you" or "your" will refer to the entity. If you do not have such authority, you may not use the service.

2. Services Provided

Punt is an AI assistant designed to help customer-facing founders and business owners be more productive by automating certain tasks like email replies, phone call scheduling, and customer communications. Punt offers both self-service pricing for individual users and team pricing plans for organizations with multiple users.

3. Account Registration

You must create an account to access and use Punt's services. You are responsible for maintaining the confidentiality of your account credentials and all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other security breach.

4. Subscription Plans and Payment

4.1 Self-Service Plans
We offer subscription-based services under self-service plans. You can view and select available plans through our platform. By purchasing a subscription, you agree to pay the applicable fees for the selected plan.

4.2 Team Plans
For teams and organizations, we offer multi-user pricing plans that allow multiple users to access Punt under a single subscription. The account owner or administrator is responsible for managing user access and ensuring that all users comply with these Terms.

4.3 Billing and Payments
You agree to provide accurate payment information and authorize us to charge the applicable fees to your payment method. Subscription fees are billed in advance on a monthly or annual basis, depending on the plan selected. All fees are non-refundable unless otherwise stated.

4.4 Automatic Renewal
Unless you cancel your subscription before the end of the billing period, your subscription will automatically renew, and you authorize us to charge the applicable fees to your payment method.

5. Cancellation and Termination

5.1 Cancellation
You may cancel your subscription at any time through your account settings. Your subscription will remain active until the end of the current billing period, and no further charges will be applied. However, no refunds will be provided for partial billing periods.

5.2 Termination by Punt
We reserve the right to suspend or terminate your account and access to the service if you breach these Terms, misuse the service, or for any other reason we deem necessary to protect the integrity of the platform.

5.3 Data Access After Termination
Upon termination, your access to the service and any stored data will be disabled. We may retain your data for a period after termination in accordance with our Privacy Policy, but we are under no obligation to do so.

6. Use of the Service

6.1 License
Subject to these Terms, Punt grants you a limited, non-exclusive, non-transferable license to access and use the service solely for your personal or internal business purposes.

6.2 Restrictions
You may not:

• Modify, copy, or create derivative works of the service.
• Reverse-engineer or attempt to extract the source code of the service.
• Use the service for unlawful purposes or in violation of any applicable laws or regulations.
• Resell, lease, or sublicense the service to third parties without our prior written consent.

6.3 Fair Usage
We reserve the right to monitor usage and apply fair usage policies to prevent abuse or excessive use of the service that could affect the performance or reliability of the platform.

7. Intellectual Property

All intellectual property rights in the Punt service, including but not limited to software, technology, content, and trademarks, are owned by Mtn Labs, Inc. or its licensors. Your use of the service does not grant you ownership of any intellectual property rights.

8. Confidentiality

You agree to keep confidential any non-public information that you learn about Punt through the use of our services, including but not limited to trade secrets, pricing information, and proprietary technology. This obligation remains in effect after the termination of your account.

9. Data Privacy

We take your privacy seriously. Our collection, use, and disclosure of your personal information are governed by our Privacy Policy, which is incorporated into these Terms by reference.

10. Third-Party Services

Our service may integrate with or provide access to third-party services (e.g., Google, email platforms). Your use of such services is governed by the terms and conditions of those third parties. Punt is not responsible for the content, functionality, or availability of any third-party services.

11. Disclaimers and Limitation of Liability

11.1 No Warranty
The service is provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied. We do not warrant that the service will be error-free, secure, or uninterrupted.

11.2 Limitation of Liability
To the fullest extent permitted by law, Punt and its affiliates, officers, employees, and agents shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including lost profits, loss of data, or business interruption, arising out of or in connection with your use of the service, whether based on warranty, contract, tort, or any other legal theory.

12. Indemnification

You agree to indemnify, defend, and hold harmless Punt, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the service or breach of these Terms.

13. Modifications to the Terms

We reserve the right to modify these Terms at any time. When we do, we will post the updated Terms on our website and update the "Last Updated" date. Your continued use of the service after any modifications indicates your acceptance of the new Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Austin, Texas.
